1. Introduction
Welcome to CLOUDSPARK (SMC-PRIVATE) LIMITED. By accessing, consulting, or purchasing our IT services (web, software, cloud, marketing, support), you agree to these Terms & Conditions. Please read them carefully before using our services.
2. Use of Our Services
You must be at least 18 years old or have parental consent to enter into a service agreement.
You agree to provide accurate requirements, content, and credentials (where needed) and to respond to reviews/approvals in a timely manner.
You are responsible for keeping your account, access tokens, and server credentials secure.
3. Project Scope & Changes
All work is based on a written proposal or Statement of Work (SOW). Any change in scope, features, or timelines may require a change request with revised costs and deadlines.
4. Orders, Proposals & Payments
Engagements are confirmed only after written acceptance of our proposal and/or initial payment.
We may pause work if invoices are overdue. For multi‑phase projects, milestone payments are due upon delivery of each phase.
Accepted payment methods: Bank Transfer (PK), Easypaisa/JazzCash, and (for international clients) wire/PayPal where applicable.
5. Delivery & Acceptance
Deliverables (code, designs, reports) are provided digitally via secure transfer or repositories. Unless otherwise agreed, you have 7 days to review each milestone and share consolidated feedback. If no feedback is received, the milestone may be considered accepted.
6. Intellectual Property
Until full and final payment, all work remains the property of CLOUDSPARK. After settlement, ownership of final deliverables transfers to the client, excluding third‑party libraries, frameworks, and our internal tools/know‑how used to produce the work.
We may reference non‑confidential parts of the project in our portfolio unless you request otherwise in writing.
7. Client Content & Compliance
You warrant that any materials you provide (text, images, data, databases, trademarks) are lawful and licensed for our use. You agree not to request services that violate applicable laws or third‑party rights.
8. Service Levels & Third‑Party Platforms
Hosting, domain, payment gateways, app stores, analytics, and other third‑party services are subject to their own terms and uptime. CLOUDSPARK is not responsible for outages or policy changes beyond our control, though we will assist with reasonable troubleshooting.
9. Returns & Refunds
Our Refund Policy applies only to service fees as outlined in the separate Refund Policy document. Generally, discovery, consultation, and completed milestone work are non‑refundable.
10. Limitation of Liability
CLOUDSPARK (SMC-PRIVATE) LIMITED is not liable for any indirect, incidental, special, or consequential damages, including lost profits or data, arising from the use or inability to use deliverables or third‑party services.
11. Privacy
We are committed to protecting your data. Please see our Privacy Policy for how we collect, use, and safeguard personal information.
12. Changes to Terms
We may update these Terms & Conditions at any time. Changes take effect upon posting on our website or official communication.
13. Governing Law & Jurisdiction
These Terms are governed by the laws of Pakistan. Any disputes will be subject to the exclusive jurisdiction of courts in Sindh, Pakistan.
